Welcome to ApexLabs. These terms govern your use of our website, products, and services. By engaging us or using anything we build, you agree to these terms.

1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and ApexLabs (SMC-Private) Limited, a single member company incorporated under the laws of Pakistan ("ApexLabs," "we," "us," or "our"). By accessing our website, engaging our services, or using any product developed by ApexLabs, you agree to be bound by these Terms.

2. Services Offered

ApexLabs provides software development and IT services including but not limited to:

Specific deliverables, timelines, and pricing for each engagement are documented in a separate written agreement, statement of work (SOW), or quotation signed by both parties.

3. Engagement & Project Agreement

Each project undertaken by ApexLabs is governed by a separate written agreement that specifies the scope of work, deliverables, milestones, payment schedule, and timeline. These Terms supplement (and do not replace) any project-specific agreement. In case of conflict, the project agreement prevails.

3.1 Project Initiation

Work begins after we receive a signed agreement and the agreed-upon initial payment (typically 50% of the total project value, unless otherwise specified).

3.2 Change Requests

Any changes to the original scope after work has begun must be submitted in writing. Significant scope changes may result in revised timelines and additional fees, communicated transparently before any new work commences.

4. Payment Terms

4.1 Pricing

Our pricing is provided in Pakistani Rupees (PKR) unless otherwise specified. All prices are exclusive of applicable taxes (GST, withholding tax, etc.), which will be added to invoices in compliance with Pakistani tax regulations.

4.4 Late Payments

Invoices are due within 14 days of issuance. Late payments may result in suspension of services and a late fee of 2% per month on the outstanding amount.

5. Intellectual Property

5.1 Client Ownership

Upon full payment of all invoices, the Client receives ownership of the custom code, designs, and content specifically created for their project, except for any pre-existing ApexLabs frameworks, libraries, or components.

5.2 ApexLabs Tools & Frameworks

ApexLabs retains ownership of any proprietary tools, frameworks, libraries, or methodologies used in delivering the project. The Client receives a perpetual, non-exclusive license to use these as part of the delivered product.

5.3 Open Source

Many projects incorporate open-source software components. The Client agrees to comply with all applicable open-source licenses included in their delivered project.

5.4 Portfolio Rights

Unless otherwise agreed in writing, ApexLabs reserves the right to showcase the delivered project (including screenshots, branding, and case studies) in our portfolio, marketing materials, and proposals.

6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary, technical, and business information shared during the engagement. This obligation continues for 3 years after project completion. Upon Client request, ApexLabs is willing to sign a separate Non-Disclosure Agreement (NDA).

7. Warranties & Limitations

7.1 Service Warranty

ApexLabs warrants that delivered work will substantially conform to the agreed specifications. We provide a 30-day post-launch bug-fix warranty on custom-developed code, covering defects in our work but excluding issues caused by Client modifications, third-party services, infrastructure failures, or changes in external APIs.

7.2 No Implied Warranties

Beyond the warranty stated above, our services are provided "as is" without any other express or implied warranties, including merchantability or fitness for a particular purpose.

7.3 Limitation of Liability

To the maximum extent permitted by Pakistani law, ApexLabs's total liability for any claim arising from our services shall not exceed the total fees paid by the Client for the specific project giving rise to the claim. We shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities.

9.1 Termination by Either Party

Either party may terminate the engagement with 14 days' written notice. Upon termination, the Client shall pay for all work completed up to the termination date.

9.2 Termination for Cause

Either party may terminate immediately for material breach (e.g., non-payment, breach of confidentiality, illegal use of deliverables) with written notice.

10. Dispute Resolution

Any dispute arising from these Terms or our services shall be resolved through:

  1. Good-faith negotiation between the parties
  2. Mediation through a mutually agreed mediator if negotiation fails
  3. Arbitration under the Arbitration Act, 1940 (Pakistan), if mediation fails

The exclusive jurisdiction for any legal proceedings shall be the courts of Lahore, Punjab, Pakistan.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, including but not limited to the Companies Act 2017, the Contract Act 1872, and the Electronic Transactions Ordinance 2002.

12. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond reasonable control, including natural disasters, government actions, internet outages, war, civil unrest, or pandemics.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via our website with a revised "Last updated" date. Continued use of our services after such changes constitutes acceptance of the revised Terms.
